1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you ("Subscriber," "User," or "You") and Utopia Retail Solutions LLC, governing your access to and use of AccuInvoice and related software services.

By registering an account or initiating a subscription trial, you expressly agree to be bound by these Terms.

2. 7-Day Free Trial & Subscription Billing

• 7-Day Free Trial: AccuInvoice offers a seven (7) day complimentary trial period for new organizations. A valid payment card is required during checkout to establish your subscription profile.
• Trial Charges: You will not be charged during the 7-day trial. If you cancel before the end of your 7-day trial period, your payment card will not be charged.
• Monthly Billing: Unless canceled prior to trial expiration, your subscription automatically converts to the Professional plan billed at $12.99 USD per month. Subscriptions renew automatically each month until canceled.
• Cancellation: You may cancel your subscription or update payment methods at any time with one click through the Customer Billing Portal in Organization Settings.

3. Customer Data & Intellectual Property

You retain 100% legal ownership of all business records, invoices, client contacts, vendor accounts, and financial statements entered into AccuInvoice. Utopia Retail Solutions LLC claims no ownership over your operational data.

You grant Utopia Retail Solutions LLC a limited, non-exclusive license solely to host, back up, process, and transmit your documents for the purpose of delivering the Service.

4. International Tax & Regulatory Compliance

AccuInvoice provides configurable tools to calculate sales taxes, VAT, IVA, IGV, and local tax rates as configured by your team. However, Utopia Retail Solutions LLC does not provide certified legal, tax, or accounting advice.

You remain solely responsible for verifying that your invoices, tax rates, and fiscal disclosures comply with the tax authorities of the jurisdictions in which you operate.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Utopia Retail Solutions LLC shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from lost profits, service interruptions, or configuration errors.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict-of-law principles.
